It disables your normal ability to make branch offices through commercial pacts, and instead lets you make criminal branches that cause the host planet to have a high crime rate, and rewards you for keeping it high.

There are stronger empire choices, so playing a criminal syndicate will probably seem more difficult if you usually play a stronger build.
